1. AGREEMENT TO TERMS

These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("you," "your," or "Client") and GFIS LLC, doing business as Remote Business Service ("Company," "we," "us," or "our"), concerning your access to and use of the remotebizservice.com website (the "Site") and our business support services (the "Services").

By accessing the Site or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access the Site or use our Services.

2. SERVICES DESCRIPTION

Remote Business Services provides professional business support services including but not limited to:

  • Business entity formation and anonymous filing services (Delaware, Wyoming, New Mexico, Nevada, Texas)
  • Employer Identification Number (EIN) application services
  • Federal and state tax preparation and e-filing
  • Compliance monitoring and support
  • General business advisory services

Our staff includes an IRS Licensed Enrolled Agent authorized to practice before the Internal Revenue Service and U.S. Treasury Financial Crimes Enforcement Network (FinCEN).

3. PROFESSIONAL SERVICES DISCLAIMER

3.1 Not Legal Advice

Our Services are NOT legal advice. While our staff has paralegal expertise and experience in business law compliance, we are not attorneys. We recommend consulting with a qualified attorney for legal advice specific to your situation.

3.2 Not Tax Advice

Tax preparation and filing services are provided by our Licensed Enrolled Agent, but these do not constitute formal tax advice. For complex tax matters, we recommend consulting with a certified public accountant or tax attorney.

3.3 Government Filing Agent

We act as a third-party filing agent and representative. We facilitate documentation and submission to government agencies but cannot guarantee:

  • Approval of filings by government agencies
  • Specific timelines for government processing
  • Specific outcomes of government reviews
  • Compliance with all future regulatory changes

4. ELIGIBILITY AND AUTHORIZATION

You represent and warrant that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • You have the authority to form a business entity on behalf of yourself or your organization
  • All information you provide is accurate, current, and complete
  • You will maintain the accuracy of such information

5. USER ACCOUNTS AND REGISTRATION

5.1 Account Creation

To access certain Services, you may need to create an account. You agree to:

  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

5.2 Account Suspension/Termination

We reserve the right to suspend or terminate your account if:

6. PRICING AND PAYMENT

6.2 Payment Terms

  • Unpaid invoices may result in suspension of Services

6.3 Government Fees

Any government filing fees, taxes, or other official charges are:

  • Separate from our service fees
  • Paid to the appropriate government agency
  • Generally non-refundable once paid to the government

7. REFUND POLICY

7.1 Service Fees

Service fees may be refundable under the following conditions:

  • If we have not yet commenced work on your filing
  • If government filing has not been submitted
  • Within 30 days of payment, unless otherwise specified

7.2 Non-Refundable Circumstances

No refunds will be provided for:

  • Services already performed or commenced
  • Government fees paid to agencies
  • Services where government filing has been submitted
  • Research or consulting time already expended

7.3 Processing Refunds

Refund requests must be submitted in writing to info@remotebizservice.com. Refunds will be processed within 30 business days of approval.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 Our Content

All content on the Site, including text, graphics, logos, icons, images, and software, is our property or licensed to us and protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works
  • Distribute, sell, or lease any part of our content
  • Reverse engineer or attempt to extract source code

8.2 Your Content

By submitting information for Services, you grant us a license to:

11. DISCLAIMERS AND LIMITATIONS OF LIABILITY

We shall not be liable for delays or failures due to circumstances beyond our reasonable control, including:

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless GFIS LLC, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Information you provide to us

13. GOVERNMENT COMPLIANCE AND REPORTING

13.1 Your Compliance Obligations

Our Services facilitate compliance but do not eliminate your obligations to:

  • Maintain proper business records
  • File required annual reports
  • Pay required taxes and fees
  • Comply with changing regulations

13.2 Our Role as Filing Agent

When we act as your filing agent:

  • We submit documents based on information you provide
  • We rely on the accuracy of your information
  • We do not verify the legality of your business activities
  • We may be required to maintain records for regulatory purposes

14. TERMINATION

14.1 By You

You may discontinue use of our Services at any time.

14.2 By Us

We may terminate or suspend your access to the Site or Services:

  • For violation of these Terms
  • For non-payment
  • If required by law
  • For any reason with 1 days' notice

14.3 Effect of Termination

Upon termination:

  • Your right to use the Services ceases immediately
  • Outstanding payments become due

Our failure to enforce any right or provision shall not constitute a waiver.

16.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor.
